Description

A Corporate Paralegal plays a crucial role in the legal department of a corporation, providing essential support to attorneys and ensuring compliance with various legal requirements. This role involves preparing and reviewing legal documents, conducting research, maintaining records, and assisting with corporate governance matters. Corporate Paralegals also help in the organization of board meetings and ensure that company filings with regulatory bodies are accurate and timely. Requirements

- Bachelor's degree in paralegal studies, legal studies, or a related field

Responsabilities

- Draft, review, and manage corporate documents including resolutions, bylaws, and articles of incorporation
- Assist in the preparation and filing of annual reports and other mandatory corporate filings
- Conduct legal research related to corporate governance, compliance, and regulatory requirements
- Support mergers, acquisitions, and other corporate transactions by organizing due diligence, preparing documents, and coordinating with other parties
- Manage and update corporate records and minute books for various entities
- Coordinate board meetings, including preparing agendas, meeting materials, and drafting minutes
- Facilitate shareholder communications and maintain accurate records of shareholder actions
- Prepare and file documents with the Securities and Exchange Commission (SEC) and other regulatory bodies
- Monitor and ensure compliance with state, federal, and international corporate regulations
- Assist with the formation, qualification, and dissolution of corporate entities in various jurisdictions
- Liaise with external counsel, clients, and government agencies as needed
- Handle corporate governance matters, including updating and maintaining corporate policies and procedures
- Support in contract management activities, including drafting, reviewing, and organizing contracts
- Assist in the management of intellectual property portfolios and related filings
- Maintain and update a corporate compliance calendar with deadlines and requirements
- Provide administrative support to the legal department, such as scheduling meetings and handling correspondence
- Conduct background checks and due diligence investigations regarding potential business partners or transactions
- Coordinate and provide support during internal and external audits

Ideal Candidate
